At CSA conclusion after 30 years, facility assets transition to the state at no cost — Maharashtra inherits a functioning advanced manufacturing asset with no residual liabilities.

At CSA term conclusion (Year 30 or at perpetual continuation election), the Carbotura SPV's facility assets — buildings, processing equipment, infrastructure connections, and site improvements — transfer to the Government of Maharashtra at no cost per CSA §9.1 (Asset Transfer Annex). Maharashtra inherits a fully operational advanced manufacturing facility with zero residual capital obligation. The CSA's perpetual continuation clause also provides Maharashtra the option to extend the royalty arrangement at then-prevailing terms rather than receiving physical asset transfer.

Community Study — At No Cost to Maharashtra

The Community Study — Carbotura's diagnostic engagement conducted during the Deployment Planning Period — is carried out at no cost to the Government of Maharashtra. It covers feedstock characterisation, Exogenesis™ site qualification, site survey, and the data foundations required for Financial Closing. Maharashtra does not pay for, commission, or manage the Community Study; Carbotura initiates and funds it upon LOI/MOU execution.

Carbotura offers a single commercial structure: the Circular Supply Agreement (CSA) — Beneficiation Fee (TMC Fee) + Circular Royalty™; Beneficiation Fee at $100/ton canonical floor (MR §4.1).
